PLEASE READ THESE TERMS OF USE CAREFULLY. YOUR ACCEPTANCE OF THESE TERMS OF USE MAY LIMIT OR WAIVE CERTAIN OF YOUR LEGAL RIGHTS. IF YOU HAVE NOT REVIEWED THESE TERMS OF USE SINCE THE “LAST UPDATED” DATE ABOVE, IT IS YOUR RESPONSIBILITY TO RE-REVIEW THEM. THESE TERMS OF USE PROVIDE FOR MANDATORY INDIVIDUAL ARBITRATION IN PANAMA CITY, REPUBLIC OF PANAMA. BY ACCEPTING THESE TERMS OR BY USING THE SITE OR THE CONTENT (AS DEFINED BELOW), YOU IRREVOCABLY WAIVE ALL RIGHTS TO TRIAL BY JURY AND ALL RIGHTS TO PARTICIPATE IN ANY FORM OF CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION. IF YOU DO NOT AGREE TO THESE TERMS OR THE SONAR PRIVACY POLICY, YOU MUST IMMEDIATELY CEASE ALL USE OF THE SITE AND THE CONTENT. These Terms of Use (“Terms”) govern your access to and use of the website located at https://sonar.trade, including all linked or directed subdomains (the “Site”), and any information, content, documentation, user interfaces, dashboards, strategy configuration tools, data, software or other materials made available on or through the Site (collectively, the “Content”). These Terms constitute a binding agreement between Echo Labs Corporation, a corporation organized under the laws of the Republic of Panama (the “Operator”), and you (the “User”). By accessing or using the Site or any Content, you signify your full and unconditional agreement to be bound by these Terms and by the Sonar Privacy Policy.
1. ELIGIBILITY; PROHIBITED JURISDICTIONS
1.1 Eligibility. You represent and warrant that you are at least eighteen (18) years old (or the age of majority in your jurisdiction, if higher) and possess full legal capacity to enter into these Terms. 1.2 Prohibited Jurisdictions. By accessing or using the Site or the Content, you represent and warrant that you are not: (a) a citizen, resident, or domiciliary of the United States; or (b) accessing or using the Site or Content from the United States; or (c) a person or entity listed on, or controlled by or acting on behalf of any person listed on, any sanctions or restricted party list issued by the United Nations, the European Union, the United States (including OFAC), the United Kingdom, Switzerland, Panama, or other relevant authorities; or (d) accessing or using the Site or Content from a jurisdiction designated as high-risk, embargoed, or otherwise restricted, including any jurisdiction subject to comprehensive sanctions, financial restrictions or anti-money-laundering countermeasures. 1.3 Operator Discretion. The Operator may, at its sole discretion, restrict, block or terminate access to the Site or Content in whole or in part for any jurisdiction, User or IP address, with or without notice, where it considers this necessary or advisable for legal, regulatory, security or risk-management reasons. If you do not meet the eligibility requirements in this Section 1, you must not use the Site or the Content.
2. SITE CONTENT; NON-CUSTODIAL PROTOCOL; LIMITED ADMINISTRATIVE AUTHORITY
2.1 Site Content. The Site offers a user interface that may display information relating to certain blockchain networks and tokens, and may assist with formatting or generating standardized messages or transaction data for use with third-party wallet software or other interfaces (such messages, data and functionalities being part of the “Content”). 2.2 Non-Custodial Protocol; Limited Administrative Authority. The Site provides access to autonomous smart contracts deployed on public blockchains (the “Sonar Protocol”). When you use the Site, you may transfer digital assets to smart-contract addresses associated with your Sonar account. These assets are held and administered by the Sonar Protocol and are used solely for the execution of the strategy parameters that you configure. In the ordinary course of operation: (a) the Sonar Protocol executes deposits, withdrawals, strategy triggers, and transactions automatically according to parameters set by you; (b) neither the Operator nor any employee, agent, or contractor of the Operator adjusts, modifies, or intervenes in your strategy parameters or in the execution process; and (c) you retain control through your wallet credentials and the configuration rights available to you. The Operator may, however, retain limited administrative or upgrade authority, whether through multisignature arrangements, guardian keys, emergency controls, upgradeable contract permissions, or similar safety mechanisms (collectively, “Administrative Authority”). Administrative Authority may permit the Operator or designated maintainers to take certain protocol-level actions with respect to the Sonar Protocol, including the ability to pause, upgrade, or modify smart contracts, or to migrate protocol components in exceptional circumstances. Any such actions may affect how transactions are processed by the protocol, but do not involve custody, ownership, or discretionary control over user assets. YOU ACKNOWLEDGE AND AGREE THAT: (i) the existence of Administrative Authority does not create or imply a custodial relationship, fiduciary duty, or financial intermediary role on the part of the Operator; (ii) the Operator has no obligation to take or refrain from taking any action through Administrative Authority, and exercises such authority, if ever, solely at its discretion for security, maintenance, compliance, or protocol-integrity purposes; (iii) the Operator does not undertake to safeguard or guarantee your assets, strategy outcomes, or transaction execution; and (iv) Administrative Authority does not give rise to any expectation that the Operator will monitor, supervise, or intervene in any transactions executed by the Sonar Protocol. You further acknowledge that Administrative Authority may be necessary for protocol upgrades, security interventions, migration events, vulnerability mitigation, regulatory compliance, or other exceptional scenarios, and that your continued use of the Site constitutes your consent to the Operator’s ability to exercise such authority in accordance with these Terms. 2.3 No Brokerage, Custody or Investment Advice. Without limiting the foregoing, you acknowledge that: (a) the Operator does not hold itself out as, and is not, your broker, dealer, custodian, investment adviser or fiduciary; (b) no communication made by or on behalf of the Operator shall be deemed investment, legal or tax advice; and (c) you are solely responsible for any decisions you make in connection with your use of the Site, the Content or any smart contracts or protocols with which you interact.
3. SONAR PROTOCOL AND STRATEGIES
3.1 Protocol Overview. Sonar is comprised of smart contracts designed to facilitate automated execution strategies on supported blockchain networks. Users may configure permissionless strategies that define how their assets should be bought, sold or otherwise routed over time, subject to available liquidity and protocol logic. 3.2 Strategies. The Sonar Protocol may support various strategies, including but not limited to volume-based execution and dollar-cost averaging (DCA) strategies. You are solely responsible for understanding how each strategy operates, what parameters you are configuring, and what economic consequences may result. 3.3 Direct Contract Access. Because Sonar is deployed on public blockchain networks, it is directly accessible through command line tools, other user interfaces, or third-party software, without using the Site. These Terms govern only your use of the Site and the Content. Nothing in these Terms is intended to, or can, limit your ability to interact with the Sonar Protocol directly.
4. FEES AND PAYMENTS
4.1 Protocol Fees. Your use of Sonar may be subject to protocol-level fees, including a fee on executed strategy volume (for example, a one percent (1%) fee on each executed order), as may be set forth in the relevant documentation or protocol parameters from time to time. You acknowledge that such fees may change without notice. 4.2 Network Fees. Transactions on public blockchains (including those initiated or relayed via the Site) require payment of network fees (often referred to as “gas” or similar). You are solely responsible for ensuring that you have sufficient funds to pay all applicable network fees and charges. 4.3 Taxes and Compliance. You are solely responsible for all taxes, duties and other governmental assessments associated with your use of the Site, the Content or the Sonar Protocol. The Operator does not provide tax reporting or compliance services.
5. RULES OF USE AND RESTRICTED ACTIVITIES
You agree that you will comply in full with these Terms and all applicable laws, rules and regulations. You further agree that you will not, and will not assist, enable, or otherwise facilitate any third party to, directly or indirectly, engage in any of the following activities (“Restricted Activities”): 5.1 Unlawful Activities. Using the Site or Content in a manner that: (a) violates any applicable law, regulation, or order; or (b) promotes or facilitates money laundering, terrorist financing, fraud, or other criminal activity. 5.2 Undermining or Abusive Activities. Activities that: (a) attempt to interfere with, disrupt, or harm the normal operation, security or integrity of the Site, the Content or the Sonar Protocol; (b) attempt to gain unauthorized access to any system, network, or data, including by using VPNs or other methods to evade geographic restrictions, or by impersonating another User; (c) deploy automated scripts, bots, crawlers, scrapers or similar technologies to access or collect information from the Site (except as expressly permitted in writing by the Operator); (d) attempt to bypass any technical, rate-limiting, or security measures in place on the Site; or (e) place an unreasonable or disproportionately large load on the Site’s infrastructure. 5.3 Activities Abusive to Other Users. Activities that: (a) harass, threaten, or otherwise abuse other Users, or the Operator’s personnel; (b) collect or publish private or personal information about other Users without lawful basis; or (c) engage in any form of deception, impersonation, or misrepresentation. 5.4 Intellectual Property Infringement. Activities that: (a) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying structure of any proprietary software used in the Site or Content, except to the limited extent expressly permitted by applicable law; (b) infringe or violate any intellectual property, privacy, or other proprietary rights of the Operator or any third party; (c) misrepresent or imply any sponsorship, endorsement, or affiliation with the Operator where none exists. 5.5 Unfair or Manipulative Trading. Activities that: (a) are designed to manipulate markets or strategy execution to your unfair advantage, including front-running, sandwich attacks, wash trading or other abusive trading practices; (b) exploit vulnerabilities, design flaws, or unexpected behavior in the Sonar Protocol or Site; or (c) involve fictitious or sham transactions. The Operator may, in its sole discretion, suspend or terminate your access to the Site for any actual or suspected involvement in Restricted Activities, without any obligation to compensate you.
6. LICENSE; SUSPENSION AND TERMINATION
6.1 Limited License. Subject to your ongoing compliance with these Terms, you are granted a personal, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Site and Content solely for lawful purposes and strictly in accordance with these Terms. 6.2 Suspension and Termination. The Operator may, at any time and for any reason, with or without cause and with or without notice: (a) modify, suspend, or discontinue the Site or any part of the Content; or (b) suspend, restrict or terminate your access to the Site or Content. 6.3 Effect of Termination. Upon any termination of your access: (a) your license to use the Site and Content shall immediately cease; (b) you must immediately stop using the Site and Content; (c) sections of these Terms that by their nature should survive (including, without limitation, Sections 1, 4, 5, 7–15) shall remain in full force and effect.
7. OWNERSHIP AND INTELLECTUAL PROPERTY
7.1 Ownership. The Site, the Content and all related intellectual property rights are owned by the Operator, its licensors and/or affiliates. All rights not expressly granted to you in these Terms are reserved. 7.2 Open-Source Components. Certain components of the Sonar Protocol or the Site may be subject to open-source or source-available licenses. Your use of such components is governed solely by the relevant open-source licenses, which prevail over these Terms to the extent of any conflict. 7.3 Feedback. If you provide any feedback, suggestions, bug reports, or ideas relating to the Site, the Content or the Sonar Protocol (“Feedback”), you acknowledge that the Operator may use, modify and exploit such Feedback without restriction and without any obligation to compensate you.
8. THIRD-PARTY SERVICES AND LINKS
8.1 Third-Party Services. The Site may reference, integrate or rely upon third-party services, including wallet providers, RPC node providers, analytics providers, authentication vendors, cloud hosting providers, KYC/AML vendors, or other providers. These services are not under the Operator’s control. 8.2 External Links. The Site may contain links to third-party websites or resources. The Operator does not endorse or control such websites or resources and is not responsible for their content, privacy practices or terms. 8.3 Your Responsibility. Your use of any third-party services is at your sole risk and is subject to such service providers’ own terms and privacy policies. The Operator disclaims all responsibility for any losses, disputes or issues arising from or relating to your use of third-party services.
9. RISK STATEMENTS; USER REPRESENTATIONS
By accessing or using the Site, the Content or the Sonar Protocol, you acknowledge and agree that: 9.1 Cryptoasset and Protocol Risks. Digital assets and decentralized protocols are inherently risky. You understand and accept that: (a) digital assets may be highly volatile and may lose all value; (b) smart contracts and protocols may contain defects, vulnerabilities, bugs or logic errors; (c) blockchain networks may experience congestion, downtime, reorganizations, forks or attacks; and (d) regulatory treatment of digital assets and related activities is uncertain and may change at any time. 9.2 Strategy and Market Risks. You are solely responsible for understanding how the Sonar strategies work and the parameters you configure. You accept that: (a) strategies may not execute at all, or may execute at times or prices that differ from your expectations; (b) liquidity, slippage, fees, and other market conditions may materially affect outcomes; and (c) the Operator does not guarantee execution quality, profitability or any particular outcome. 9.3 No Advice. The Operator does not provide investment, legal, tax or financial advice. Nothing on the Site or in the Content constitutes a recommendation to buy, sell or hold any asset, or to use any specific strategy. 9.4 Compliance with Laws. You are solely responsible for complying with all laws applicable to you, including tax, securities, anti-money-laundering and sanctions laws. 9.5 User Representations. You represent and warrant that: (a) you meet all eligibility requirements in these Terms; (b) all information provided by you is true, accurate and complete, and not misleading; (c) you are using the Site and Content solely on your own behalf, and not as agent or nominee for any prohibited third party; and (d) you have sufficient knowledge and experience to understand and accept the risks associated with your use of the Site, Content and protocols. You acknowledge that all representations and warranties in this Section are deemed repeated each time you access or use the Site or Content.
10. DISCLAIMERS
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND THE CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. WITHOUT LIMITING THE FOREGOING, THE OPERATOR AND ITS AFFILIATES EXPRESSLY DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, OR THAT THE SITE OR CONTENT WILL BE ERROR-FREE, BUG-FREE, SECURE OR UNINTERRUPTED. You acknowledge that your use of the Site, Content and any protocols is at your sole risk.
11. INDEMNIFICATION
You agree to indemnify, defend and hold harmless the Operator and its directors, officers, employees, agents, contractors and affiliates from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your access to or use of the Site, Content or protocols; (b) your breach of these Terms; or (c) your violation of any applicable law or the rights of any third party.
12. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: 12.1 Exclusion of Certain Damages. IN NO EVENT SHALL THE OPERATOR OR ANY OF ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SITE OR CONTENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 12.2 Liability Cap. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE OPERATOR AND ITS AFFILIATES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE OR CONTENT EXCEED ONE HUNDRED U.S. DOLLARS (USD 100). 12.3 Some Jurisdictions. Some jurisdictions do not permit limitations of liability for certain types of damages, so some of the above limitations may not apply to you. In such cases, the liability of the Operator and related parties shall be limited to the maximum extent permitted by applicable law.
13. GOVERNING LAW; ARBITRATION; WAIVER OF CLASS ACTIONS
13.1 Governing Law. These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of Panama, without giving effect to any choice or conflict of law rules. 13.2 Arbitration. Any dispute, controversy or claim arising out of or relating to these Terms, the Site or the Content, including their existence, validity or termination, shall be finally resolved by binding arbitration. The arbitration shall: (a) be administered by a recognized arbitral institution in Panama; (b) be seated in Panama City, Republic of Panama; (c) be conducted by a single arbitrator; and (d) be conducted in the English language. 13.3 Waiver of Jury Trial and Class Actions. TO THE FULLEST EXTENT PERMITTED BY LAW: (a) YOU IRREVOCABLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE; AND (b) YOU AGREE THAT ANY SUCH ACTION OR PROCEEDING SHALL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS, AND NOT AS A CLASS, COLLECTIVE OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF MULTIPLE PARTIES OR PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.
14. CHANGES TO THE TERMS
The Operator may amend or update these Terms from time to time. When changes are made, the “Last Updated” date at the top of these Terms will be revised. Continued use of the Site or Content after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to any updated Terms, you must stop using the Site and Content.
15. MISCELLANEOUS
15.1 Entire Agreement. These Terms, together with the Sonar Privacy Policy, constitute the entire agreement between you and the Operator regarding the Site and Content and supersede all prior or contemporaneous understandings or agreements on the same subject matter. 15.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect. 15.3 No Waiver. No failure or delay by the Operator in exercising any right or remedy under these Terms shall operate as a waiver of such right or remedy. 15.4 Assignment. You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of the Operator. The Operator may assign these Terms, in whole or in part, without your consent. 15.5 Third-Party Beneficiaries. There are no third-party beneficiaries to these Terms.
